Any estimates, projections, case studies, or forecasts are illustrative only.

Numbers, statistics, rankings, timelines, performance claims, examples, case studies, screenshots, projections, and other information displayed on the website or in marketing materials are provided for general informational and promotional purposes only. They may be estimates, approximations, outdated, incomplete, inaccurate, or not representative of any particular client outcome. 3. Client Responsibilities

Clients agree to:

4. Payments & Fees

All payments are non-refundable
Deposits are non-refundable
Late payments may incur penalties
Services may be suspended for non-payment
Chargebacks may result in immediate termination

Clients are responsible for:

Taxes
Platform fees
Ad spend
Third-party software costs

5. Intellectual Property

Unless otherwise agreed in writing:

Outlier Digital retains ownership of all proprietary processes, systems, frameworks, templates, and methodologies
Clients retain ownership of pre-existing intellectual property
Final approved deliverables may be licensed, not transferred

We reserve the right to display non-confidential work in portfolios, case studies, and marketing materials.

6. Revisions & Scope Changes

Project timelines and deliverables may change due to:

Client delays
Scope modifications
Third-party platform issues
Force majeure events

Additional requests outside agreed scope may incur additional charges.

7. Third-Party Platforms

We are not responsible for:

Google penalties
Meta account restrictions
Algorithm updates
Hosting outages
Platform suspensions
Third-party software failures
API disruptions

Clients acknowledge that digital platforms operate independently from Outlier Digital.

8. Limitation of Liability

To the maximum extent permitted by law, Outlier Digital shall not be liable for:

Loss of profits
Loss of revenue
Lost opportunities
Indirect damages
Consequential damages
Punitive damages
Advertising losses
SEO ranking declines
Website downtime
Data breaches
Business interruption

Total liability shall not exceed fees paid to Outlier Digital during the prior three (3) months.

9. Indemnification

Clients agree to indemnify and hold harmless Outlier Digital and its affiliates from any claims arising from:

Client content
Advertising claims
Regulatory violations
Intellectual property disputes
Privacy violations
Misleading marketing
Product or service disputes

10. Confidentiality

Both parties agree to maintain reasonable confidentiality regarding non-public business information.

However, electronic communications and cloud-based systems cannot be guaranteed secure.

11. Termination

We reserve the right to suspend or terminate services immediately for:

Non-payment
Abuse
Fraudulent conduct
Legal risk
Violation of these Terms
Reputational harm

Termination does not eliminate outstanding payment obligations.

12. Disclaimer of Warranties

Services are provided "AS IS" and "AS AVAILABLE."
